By accessing or using MotionMuse (the "Service"), you agree to these Terms of Use ("Terms"). If you do not agree, do not use the Service.

1. Service Description

MotionMuse is an AI-powered web application that provides tools to generate, edit, or otherwise produce content and outputs, which may include text, images, video concepts, prompts, and other materials (collectively, "AI Outputs"). The Service may also include community and creator features, including rewards and payouts where available.

2. Eligibility

You must be legally capable of forming a binding contract to use the Service. By using the Service, you represent that you meet the applicable age and eligibility requirements in your jurisdiction.

3. User Accounts and Security

You may need an account to access certain features. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly if you suspect unauthorized access or a security breach.

4. User Content

The Service may allow you to upload, submit, store, or otherwise make available content, including prompts, files, images, videos, text, links, and other materials ("User Content"). You are solely responsible for your User Content.

4.1 Your Representations

You represent and warrant that: (a) you own or have the necessary rights to submit your User Content; (b) your User Content does not violate any law, regulation, or third-party rights; and (c) your submission and our use of User Content as described in these Terms will not infringe or misappropriate any rights.

4.2 Licence to Us

You grant MotionMuse a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for technical purposes such as formatting), process, and display your User Content as necessary to operate, provide, maintain, and improve the Service, to enforce these Terms, and to comply with legal obligations.

4.3 Prohibited Content

You may not submit User Content that is unlawful, harmful, deceptive, or infringing, including content that: (a) violates privacy or publicity rights; (b) contains malware or code intended to disrupt systems; (c) exploits or endangers minors; (d) is hateful, harassing, or abusive; (e) is pornographic or sexually explicit where prohibited by law; or (f) otherwise violates applicable laws or platform policies.

4.4 Prohibited Conduct

You agree not to: (a) misuse the Service or attempt to bypass security or access controls; (b) scrape, crawl, or systematically extract data except as permitted by us in writing; (c) reverse engineer the Service except where prohibited by law; (d) use the Service to generate or distribute spam; (e) impersonate any person or entity; or (f) interfere with or disrupt the Service, including by attempting to overload or attack our infrastructure.

5. AI-Generated Content

AI Outputs may be inaccurate, incomplete, or inappropriate, and may not be unique. You are responsible for reviewing and validating AI Outputs before using them. You may not rely on AI Outputs as a substitute for professional advice (including legal, medical, or financial advice). You are solely responsible for how you use AI Outputs and any outcomes resulting from their use.

6. Intellectual-Property Rights

We and our licensors retain all rights, title, and interest in and to the Service, including software, models, features, branding, and design, except for User Content. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes.

7. Fees and Payment

Certain features may require payment. Prices, billing terms, and any applicable taxes will be displayed at checkout or otherwise communicated to you. By purchasing, you authorize us (and our payment processors) to charge your selected payment method.

7.1 Refunds Policy

Unless required by applicable law, fees are non-refundable. If you believe a charge was made in error, contact us promptly and provide relevant details so we can review your request.

8. Creator Rewards and Payouts

If the Service offers creator rewards or payouts, eligibility and amounts may depend on activity, engagement, performance metrics, anti-fraud checks, and compliance with these Terms and any program rules. We may withhold, adjust, or reverse rewards where we reasonably believe there is fraud, abuse, policy violations, chargebacks, or errors. Payouts may be processed by third-party providers and may require identity verification and tax information where required by law.

9. DMCA / Copyright Complaints

We respect intellectual-property rights and respond to notices of alleged infringement in accordance with the Digital Millennium Copyright Act ("DMCA"). For takedown requests, email [email protected] with the required information.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOTIONMUSE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $100 IF YOU HAVE NOT PAID ANY AMOUNTS, WHICHEVER IS GREATER.

12. Indemnification

You agree to defend, indemnify, and hold harmless MotionMuse and our affiliates, officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another.

13. Termination

We may suspend or terminate your access to the Service at any time if we believe you have violated these Terms, if required by law, or to protect the Service, users, or third parties. You may stop using the Service at any time.

13.1 Immediate Account Suspension or Deletion

We may immediately suspend or delete accounts that we reasonably believe are involved in fraud, abuse, security incidents, repeated violations, or unlawful activity, or where continued access could create risk or harm.

14. Modifications

We may update these Terms from time to time. When we do, we will update the "lastmod" date and post the revised Terms. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws applicable to MotionMuse, without regard to conflict-of-law principles. Any disputes arising out of or related to these Terms or the Service will be resolved in the competent courts having jurisdiction over such matters, unless applicable law provides otherwise.
